What we handle for finance professionals

Most of your pay arrives once a year, part of it stays locked up for years, and some of it comes on a K-1 in the fall.

  1. 01

    The bonus withholding gap

Bonus and vesting stock from your firm are supplemental wages, withheld at a flat 22% until they pass $1 million in the calendar year and at 37% above it. Many firms pay in the first quarter, so the bonus is taxed in the year it is paid, not the year it was earned.

  2. 02

    Deferred and restricted bonuses

Above a pay level, part of the bonus is often paid in deferred cash or stock that vests over several years and can be forfeited if you leave. Each piece is taxed as wages when it vests or pays out, so one return can carry slices of three different bonuses.

  3. 03

    Carried interest and Section 1061

Carry is a partnership interest you receive for your work at the fund. Section 1061 sets its long-term holding period at more than three years instead of one, so gain on investments held three years or less is taxed as short-term capital gain, at ordinary rates.

  4. 04

    Late fund K-1s

Co-invest and fund K-1s often arrive after April 15. Your CPA files an extension with a payment by April, which moves a 2026 return to October 15, 2027, and checks each K-1 for income sourced to other states that may need its own return.

  5. 05

    New York City resident tax

The city taxes people who live in the five boroughs, at up to 3.876% on 2025 returns on top of state tax. A commuter owes New York State tax on New York wages but no city tax, unless they keep a home in the city and spend 184 days there.

  6. 06

    Personal trading rules

SEC Rule 204A-1 makes a registered adviser’s access persons get approval before buying into an IPO or a private placement, and many firms add pre-clearance, restricted lists and minimum holding periods. We plan sales and loss harvesting around the days you can actually trade.

How Nino helps finance professionals

Your compensation is set once a year and paid out over several. On an Advisor plan your CPA and Financial Planner work from one picture of your bonus history, unvested awards, carry and fund commitments, and file the returns that follow.

  • A plan in your first two weeks

Your CPA and Financial Planner build your tax and financial plan around your bonus date, vesting tranches, capital calls and goals, then revisit it every quarter and again when your number is set.

  • K-1s and states in one return

Plus covers joint filing, K-1s and up to three states. Premier adds advanced equity and estate planning for larger carry and co-invest positions. Your CPA prepares the return and nothing is filed until you approve it.

  • Bonus and capital calls in the software

Connect your brokerage and bank accounts read-only, then ask Nino’s AI what a bonus, a capital call or a sale of vested shares does to this year’s taxes and your cash.

What should finance professionals decide early?

Four decisions that are set by the comp cycle and the fund calendar, not by April.

How much of your own firm to hold

Your unvested awards, next bonus and job all depend on one firm, and firms often bar employees from hedging their own shares. Count unvested awards in the position, sell vested shares when your window opens, and keep the rest of your portfolio light on financial stocks. See concentrated stock.

How much to commit to co-invest

A fund commitment is called over the investment period on the fund’s schedule, and the money is locked up for years. Hold cash for the uncalled balance, not only this year’s call, and remember that your carry already rides on the same fund.

When to leave New York City

City tax stops on the day you move. New York’s special accrual rule still puts a bonus awarded before the move into your resident period even if it is paid later, and pay for days worked in New York stays taxable by the state. See moving states.

How to pay tax on a bonus or carry year

Carry and K-1 income has no withholding. If last year’s AGI was above $150,000, paying 110% of last year’s tax through withholding and estimates avoids the underpayment penalty however large this year is, and the rest is set aside for April 15.
