Advisor Plan Terms of Service

Effective October 26, 2026

I. The Engagement

1. Who These Terms Cover

These Advisor Plan Terms of Service ("Advisor Terms") govern the financial planning, tax planning, and tax preparation services (the "Advisor Services") that Nino Finance ("Nino") provides to members enrolled in an Advisor Plan. By enrolling in an Advisor Plan, you agree to these Advisor Terms. The Nino software included in your plan remains governed by the Software Terms of Service. Where the two conflict about Advisor Services, these Advisor Terms control.

2. What Advisor Services Include

Every Advisor Plan includes a financial plan built and maintained by a CFP professional, year-round tax planning by a Certified Public Accountant or enrolled agent, and preparation and filing of your federal and state individual income tax returns. The returns, states, schedules, accounts, rentals, and business filings covered by your plan are set by the plan tier you select and the quote we provide before you enroll, and are described on our pricing page. Work outside that scope, such as additional states, K-1s, brokerage accounts, rentals, or international reporting, is added at the published add-on price or by a revised quote.

3. What Advisor Services Do Not Include

Nino does not hold, manage, or trade your investments, does not take custody of your money, and does not charge a percentage of your assets. Advisor Services do not include discretionary investment management, brokerage, legal services, or representation before the IRS or a state tax authority in an audit or collection matter, unless we agree to it in writing. Nino Finance is not a registered investment adviser, a broker-dealer, or a law firm.

4. Our Professionals and Standard of Care

Advisor Services are delivered by named professionals, including CFP professionals and Certified Public Accountants, who are identified to you when you enroll and on our About page. When delivering Advisor Services, Nino and those professionals act in your best interest and owe you a fiduciary duty for the financial planning and tax advice they provide. Those professionals are also bound by the standards of their credentials and licenses: the CFP Board's Code of Ethics and Standards of Conduct, and, for tax services, IRS Circular 230 and the AICPA Code of Professional Conduct. Advice is based on the information and documents you provide and on the law in effect when it is given.

II. Your Responsibilities

5. Information and Documents

You agree to give us complete and accurate information about your finances and to provide the documents we request, including tax forms, prior-year returns, and account statements, by the dates we ask for them. We rely on what you give us and do not audit or verify it. If information arrives late, we may be unable to complete your plan or file your return by a deadline, and any penalties or interest that result from late or incomplete information are your responsibility.

6. Reviewing and Signing Your Return

We prepare your return for your review. Nothing is filed until you have reviewed it, confirmed it is complete and accurate, and signed the e-file authorization (IRS Form 8879 and any state equivalent). You are responsible for the accuracy of the return and for paying any tax due.

7. Decisions Are Yours

We give you advice and a plan. You decide whether and when to act on it, and you carry out any transaction yourself through your own accounts and providers. We do not execute trades, move money, or sign documents on your behalf.

III. Fees and Guarantee

8. Fees

Prices displayed for Advisor Plans are starting prices, are estimates only, and do not constitute a binding offer. Your final Advisor Plan fee may vary based on the scope, complexity, and circumstances of your financial profile and the services requested. We will disclose the applicable fee before you enroll in or are charged for an Advisor Plan. Advisor Plan fees are flat annual fees and are not calculated as a percentage of your assets.

If the scope, complexity, or circumstances of your financial profile or the services requested materially change after enrollment, we may revise your Advisor Plan fee prospectively by providing advance notice through the Service or by email. Any revised fee will apply only from the effective date stated in the notice and only as permitted by applicable law.

9. Billing and Renewal

Advisor Plans are billed annually as stated at enrollment and renew automatically at the end of each plan year at the then-current price for your plan. Before a renewal charge, we will tell you the renewal price and date. You may cancel before the renewal date to avoid the charge.

10. 30-Day Money-Back Guarantee

If you cancel within 30 days of your Advisor Plan start date, we will refund the Advisor Plan fees you have paid. To cancel, email team@usenino.com from the email address on your account. The guarantee applies once per household.

11. Cancellation After 30 Days

You may cancel your Advisor Plan at any time. After the 30-day guarantee period, fees for the current plan year are not refundable except as required by law. We will complete any return we have already started preparing for you if you provide the information we need, and your software access continues for the remainder of the paid period.

IV. Confidentiality and Communications

12. Confidentiality and Tax Return Information

We treat the information you share with us as confidential. We use your tax return information only to prepare your return and to provide the Advisor Services you have engaged, and we disclose it only with your consent or as the law permits or requires, consistent with Internal Revenue Code Section 7216. Our Privacy Policy describes how we handle personal data across the Service.

13. Communications

You can reach your team through the Service and by email. We respond during business hours and are not monitored around the clock. A message about a deadline, a payment, or a transaction should be sent as soon as you know about it, and anything time-sensitive should be confirmed with your team rather than assumed.

14. Limitation of Liability

To the fullest extent permitted by law, Nino Finance's total liability arising from the Advisor Services in any plan year is limited to the Advisor Plan fees you paid for that year, and Nino Finance is not liable for indirect, incidental, or consequential damages. Nothing in these Advisor Terms limits liability that cannot be limited under applicable law or the professional standards that govern our CFP professionals and CPAs.

15. Changes to These Advisor Terms

We may update these Advisor Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Advisor Services after notice of changes constitutes acceptance of the updated Advisor Terms.
