Financial Advisor and CPA for Angel Investors
A flat-fee CPA and Financial Planner team that gives you personalized, holistic advice across your taxes and financial plan. We plan your QSBS clocks, startup losses and syndicate K-1s, and file your returns.

What we handle for angel investors
Most checks end in a large excluded gain or a deductible loss, and both depend on paperwork from the day you wired the money.
- 01
QSBS on stock bought at issuance
Stock you buy from a C corporation when it is issued can qualify; shares bought from another shareholder generally cannot. For stock acquired after July 4, 2025, the exclusion is 50% at three years, 75% at four and 100% at five, capped at the greater of $15 million or 10 times basis per company. See the QSBS rules.
- 02
QSBS through syndicates and funds
Gain an SPV or fund passes through to you can still be excluded, but only if you held your interest on the day it bought the stock and kept it until the sale, and only up to the share you held that day. Join a fund after it bought a company and that company’s gain is not excludable for you.
- 03
Section 1244 ordinary losses
A loss on stock issued to you for cash, while the company had received $1 million or less of total capital, can be ordinary rather than capital: up to $50,000 a year, or $100,000 on a joint return, on Form 4797. Through an SPV it works only if you were a partner when the stock was issued.
- 04
Worthless stock, in the right year
Stock is deductible as worthless only when it has no value left, not after a down round or a quiet year. The loss counts as a sale on December 31 of the year it became worthless, and because that year is often unclear, a missed loss can generally be claimed on an amended return for up to seven years.
- 05
Late K-1s and the extension
A calendar-year partnership return is due March 15 and can be extended six months, so syndicate and fund K-1s often arrive after April 15. Your CPA extends your 2026 return to October 15, 2027 and pays the estimated balance by April 15, so a late K-1 moves the filing date, not the payment.
- 06
Basis and documents for every deal
Each check gets its own file: the SAFE, note or stock purchase agreement, the wire date and amount, shares received at conversion, the company’s QSBS and gross-asset statements, and every K-1. Those records decide the exclusion or the loss years after anyone remembers the deal.
How Nino helps angel investors
A portfolio of 20 checks can produce one exit, a few write-offs and a stack of K-1s in the same year. On an Advisor plan your CPA and Financial Planner keep every deal’s dates and basis on file, plan each exit and loss as it happens, and file the return that follows.

A plan in your first two weeks
Your CPA and Financial Planner set how much of your net worth goes to startups, plan the reserve for capital calls and follow-ons, and revisit the plan every quarter as rounds close and companies exit or fail.
-
Every deal on one return
Your CPA prepares your federal and state returns with every syndicate and fund K-1, QSBS exclusions and Section 1244 losses where they apply, and an extension when a K-1 runs late. Nothing is filed until you approve it.
-
Your other money in view
Nino’s AI software connects your bank, brokerage and retirement accounts read-only, so each new check is weighed against your cash, your goals and the rest of what you own.
What should angel investors decide before writing the check?
Four choices that are settled by the instrument you sign and the dates that follow it.
SAFE, note or priced round
No statute, regulation or IRS ruling says whether a SAFE starts your QSBS and holding-period clock when you fund it or when it converts, and practitioners disagree. A convertible note is usually treated as debt until it converts, but that date is not settled either. Plan from conversion and treat an earlier start as upside.
What to do with an early exit
An acquisition before year three leaves QSBS gain unexcluded. If you held the stock more than six months, a Section 1045 election defers the gain when you buy new QSBS within 60 days of the sale, and your holding period carries over. Sixty days is short to find and close a qualifying deal.
Which state you sell from
California, Pennsylvania, Mississippi and Alabama do not follow the federal QSBS exclusion, so a gain excluded on your federal return can be fully taxed there. New Jersey conforms for tax years beginning in 2026. Your residency on the sale date generally decides which state taxes the gain.
How much to put into startups
Checks are illiquid for years and many return nothing, so size them as money you can lose without missing a goal, after your cash reserve, retirement saving and tax reserve. Count employer equity in the same bucket; see planning for tech professionals.
